Scientific Games Announces Extension of Exchange Offer for $300 Million of 6.250% Senior Subordinated Notes Due 2020

NEW YORK, Jan. 30, 2013 /PRNewswire/ -- Scientific Games Corporation (Nasdaq: SGMS) (the "Company") announced today that its wholly owned subsidiary, Scientific Games International, Inc., has extended the expiration date of its offer to exchange up to $300,000,000 principal amount of its 6.250% Senior Subordinated Notes due 2020 (the "new notes") which have been registered with the United States Securities and Exchange Commission under the Securities Act of 1933 for all of its outstanding unregistered 6.250% Senior Subordinated Notes due 2020 (the "old notes").  As a result of the extension, the exchange offer is now scheduled to expire at 5:00 p.m., New York City time, on February 5, 2013, unless further extended.

The exchange offer was originally set to expire at 5:00 p.m., New York City time, on January 29, 2013.  As of January 29, 2013, notes representing approximately $298,500,000 in aggregate principal amount, or 99.5%, of the old notes had been validly tendered and not withdrawn.  Except for the extension of the expiration date, all of the other terms of the exchange offer remain as set forth in the exchange offer prospectus, dated December 28, 2012.

This press release is not an offer to exchange the new notes for the old notes or the solicitation of an offer to exchange, which we are making only through the exchange offer prospectus.

(NYSE: WMS) today announced that the companies have entered into a definitive agreement under which Scientific Games has agreed to acquire WMS for $26.00 in cash per common share or approximately $1.5 billion.

Pollard Banknote Awarded Contract by the Iowa Lottery

WINNIPEG, Manitoba, January 29, 2013 /CNW/ – Pollard Banknote Limited (TSX: PBL) (Pollard Banknote) is pleased to announce that it has recently been awarded a one‐year contract by the Iowa Lottery for instant ticket printing and related services. This agreement commenced on January 1, 2013, and includes the option of four additional one‐year extensions. LOTTOMATICA Group Creates a Single, Unified Leadership and Business Structure to Drive its Futrue Growth

ROME, ITALY and PROVIDENCE, RHODE ISLAND (US) – January 24, 2013 – Lottomatica Group S.p.A. today announced a plan to further integrate its businesses on a global basis and change the company name to GTECH S.p.A.  These changes are aimed at supporting growth, improving efficiency and enhancing profitability across operations, stepping up the pace of internationalization of the Group to better capture its full potential.

The Group will be operated under a unified, customer-facing organization structure aligned around three global geographic regions supported by a central products and services structure. Currently, the Group is organized into separate business units focused on their respective products, services, geographies, and market segments. The plan will be progressively implemented and executed within the current year.

To help communicate the vision and support the Group’s worldwide growth strategy, the Lottomatica parent company will take advantage of one of the most recognized and valued global brands in the gaming industry and be known as GTECH. The regions will be supported by a central product and services organization that will be led by Renato Ascoli. This unit will be responsible for product development and marketing, manufacturing, and delivery for all product lines.

Michigan Lottery issues RFP for iLottery Services

LANSING, January 8, 2013 –The Michigan Bureau of State Lottery is issuing a Request for Proposal (RFP) to offer its existing games through digital distribution channels such as web and mobile. Digital distribution of lottery games, also known as iLottery, will deliver increased revenue to the School Aid Fund by engaging new players in a secure and highly responsible manner.

Florida Lottery Unveils New Logo and Brand in Honor of its 25th Anniversary

TALLAHASSEE – On Monday, January 7, 2013, the Florida Lottery, one of Florida’s most recognizable brands, unveiled a new logo and brand identity, marking the agency’s 25 years of achievements, innovation, stewardship and winning.

Florida Lottery Secretary Cynthia O’Connell revealed the new logo on a sign at the headquarters building in Tallahassee.  At the event, she also recognized employees who have worked with the Florida Lottery for 25 years and the positive impact the agency has had on the state, namely the $24 billion transferred to education.

The new brand revealed today better reflects the excitement of playing and winning, and is part of a broad strategy to keep the Lottery fresh and dynamic as it moves into the future. By providing more chances to win, the Lottery also continues to create greater funding for education in Florida, including the Bright Futures Scholarship program, which has sent more than 600,000 Florida students to college since its inception.

“While products and services abound, it is time to focus on the innovative and fresh spirit of today’s Lottery,” said O’Connell. “We have taken a thoughtful and thorough approach to this new brand in order to develop an identity that is compelling and expresses the energy and excitement that fuels the brand today.”     

While the identity of the Florida Lottery is changing, the cornerstone of the agency and its commitment to serving the state of Florida will remain steadfast and true. SPIELO INTERNATIONAL 100% Successful in Bids for Canadian VLT Replacement

ROME (Italy), MONCTON (Canada), December 21, 2012 – Lottomatica Group S.p.A. subsidiary SPIELO International Canada ULC (SPIELO International Canada) has announced that it has recently signed a seven-year contract to provide Atlantic Lottery with its INTELLIGEN® Central System for video lottery terminals (VLTs). The contract follows a competitive procurement process, and it may be extended beyond the initial seven-year term, subject to the agreement of the parties.

With the announcement of this contract award, SPIELO International Canada has won all 11 competitive procurements bids in Canada. These procurements formed part of the most recent Canadian VLT replacement cycle, when provinces cyclically refresh their machines and the software that manages their networks (known as Central Systems).

GTECH Corporation Executes Exclusive License and Representation Agreement with Caesars Entertainment Operating Company for Rights to Licensed Content `

PROVIDENCE, RHODE ISLAND (USA) – (December 20, 2012) – GTECH Corporation announced that it has signed an exclusive, multi-year License and Representation Agreement with Caesars Entertainment Operating Company Inc. Scientific Games’ Montreal Manufacturing Facility Receives ISO 14001 Certification for Environmental Sustainability Practices 

ALPHARETTA, GA – December 13, 2012 – Scientific Games Corporation (Nasdaq: SGMS) today announced that the International Standards Organization (ISO) has awarded the Company’s Montreal manufacturing facility ISO 14001 certification. Scientific Games’ facilities in Alpharetta, Georgia (USA) and Leeds, England received ISO 14001 certification in June 2012 and January 2011, respectively. ISO 14001 is an environmental management system established by the ISO for the purpose of reducing a company’s impact on the environment with regard to air and water pollution, waste to landfill, and energy usage.

Scientific Games’ ISO 14001 certification drives performance in areas such as waste recycling. It also focuses attention on reducing energy usage, a requirement that is strongly supported by governments around the world as part of ongoing carbon reduction initiatives. The use of water-based and UV inks in Scientific Games’ lottery game manufacturing facilities helps drive an ongoing reduction in solvent usage. These ink products have a much less detrimental effect on air quality compared to solvent-based inks.
“The official ISO 14001 certification signifies that our Montreal manufacturing facility is operated with respect for the environment. INTRALOT Presents the Historic Album: “TYCHE: Lotteries and Games of Chance”

On the occasion of its 20 years anniversary, INTRALOT has published an historic album entitled “TYCHE: Lotteries and Games of Chance through Time”, in collaboration with the Foundation of the Hellenic World. The book addresses the power of Chance in the human spirit through time and was presented to an audience of representatives from the business and political sector at a special ceremony held on December 11th in Athens.

 

The keynote speaker of the event, Mr. Peter Economides, Brand Strategist, underlined: “Every society needs its heroes. And Greece today needs heroes more than ever before. The Governor awarded GLI with the Certificate in recognition of what the award said is GLI’s “innovation and entrepreneurship, which has helped drive economic growth and job creation in Nevada.”

The Chairman of Nevada’s Economic Development Council Glenn Christenson, said, “On behalf of our Board of Directors and the entire community, we congratulate GLI on its decision to expand their investment in Southern Nevada. We look forward to working with the GLI team, wish them continued success and appreciate their contribution to our growing economy.”

“Over the past two years, GLI has worked very closely with the State, the EDC and the State of Nevada Gaming Control Board (NGCB), as the Board transitioned some testing responsibilities to private labs. GLI has invested heavily in infrastructure and staff to facilitate Nevada’s desire to become the jurisdiction of first choice for new technology.  GLI has been able to accomplish this while reducing the industry’s overall testing costs and maintaining or improving upon the current testing times. As a result, GLI’s investments have proven to be very successful, and our team is happy to be an ever-growing part of the Nevada community,” Mullally said.

In 2012, GLI invested nearly $7 million in infrastructure and hiring in its Las Vegas laboratory, adding more than 93 permanent jobs in Nevada. In June 2012, GLI was named a “Registered Independent Testing Laboratory” by the NGCB, and the company has received more than 2,000 submissions for testing since then. The submissions include every type of gaming product, from iGaming to sports book devices and systems, as well as slot products and casino management systems.

GLI has 20 global lab locations. The upgrade of GLI’s 86,000 square foot laboratory in Las Vegas is now home to more than 165 of GLI’s more than 750 employees worldwide.

As of July 1, 2012, the State of Nevada Gaming Control Board Technology Division no longer performs the pre-approval of gambling games, gaming devices, associated equipment, cashless wagering systems, mobile gaming systems, and interactive gaming systems. Pre-approval for all of these devices has moved over to private, independent test labs, such as GLI.

With more than 750 employees, GLI has more capacity than any other lab. GLI serves more than 455 global jurisdictions, more than 130 of which exclusively accept GLI certification letters.

Scientific Games Announces its Consortium Selected for the Greek State Lotteries' Concession

NEW YORK, Dec. 12, 2012 -- Scientific Games Corporation (Nasdaq: SGMS) today announced that the Hellenic Republic Asset Development Fund declared the consortium in which Scientific Games Global Gaming S.a.R.l, a subsidiary of Scientific Games, is a participant, as the provisional successful bidder in the tender process for a 12-year concession for the exclusive rights to the production, operation, circulation, promotion and management of the Hellenic Lotteries in Greece.

The consortium is principally comprised of OPAP S.A. (ATH: OPAP), Scientific Games and Intralot (ATH: INLOT).

The concession will cover current and future instant lotteries which are conducted using physical tickets, as well as internet sales of physical tickets. Operations under the new concession are subject to various regulatory approvals, including Greek parliamentary approval.

Scientific Games will have a 16.5% equity interest in the consortium and will be responsible for the instant ticket marketing function, with a supply agreement providing for all instant ticket production and game design services. The consortium will pay an upfront payment of €190 million and will be responsible for a monthly fee equal to a percentage of the gross gaming revenues.

In 2011, OPAP generated €4.4 billion in total lottery retail sales in Greece, representing approximately €386 in per capita sales, making it the third largest lottery in the world in terms of per capita sales based on data provided by La Fleur's. The instant ticket lottery has been inactive since 2003.

INTRALOT Announces Its Consortium Selected for the Greek State Lotteries’ Concession 

The Consortium for the acquisition of the 12-year concession for the exclusive rights to the production, operation, circulation, promotion and management of the Hellenic Lotteries in Greece, today announces its provisional selection as the successful bidder for the concession. Today’s decision of the Hellenic Republic Assets Development Fund (the “Fund”), is subject to various regulatory approvals, including parliamentary approval. 

The Consortium is comprised of companies controlled by OPAP S.A. (ATH: OPAP), Lottomatica Group (MIL: LTO), Scientific Games (Nasdaq: SGMS) and Intralot (ATH: INLOT).  

The Consortium, after internal deliberations, offered an upfront payment of €190 million which was accepted by the Fund. In addition, the Consortium guarantees a minimum of €580 million additional payments over the life of the 12 year concession period. Lottomatica decided to exercise its pre-existing option to dilute to one share and transferred its remaining interests to OPAP.
